These Terms of Use (the "Terms") govern your access to and use of the websites, applications, and services operated by JumonAI, Inc. ("JumonAI", "we", "us", or "our"). By accessing or using a Service, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Scope
These Terms apply as the umbrella terms for all JumonAI services that link to or reference them (collectively, the "Services"). Where a Service publishes service-specific terms, those service-specific terms supplement these umbrella Terms and prevail in case of conflict, but only with respect to that Service. A Service may publish service-specific terms governing, for example, paid subscriptions, refunds, billing cycles, AI-generated content licensing, or features that require additional disclosures.
2. The Services
JumonAI provides a portfolio of software services, including websites, applications, APIs, and AI-powered tools. We may add, modify, or discontinue features or entire Services at any time. We will give reasonable notice for material adverse changes to a paid Service that affects existing customers.
3. Eligibility and Accounts
You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use the Services. If you are below the age of majority in your jurisdiction, you may use the Services only with the consent of a parent or legal guardian.
Some Services require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly at support@jumonai.com if you suspect unauthorized access. Do not share your credentials with others or impersonate another person when creating an account.
4. Acceptable Use
You agree not to use the Services to do any of the following, and not to assist or permit any third party to do so:
- Violate any applicable law or regulation.
- Infringe the intellectual property, privacy, publicity, or other rights of any third party.
- Generate, store, or transmit content that is unlawful, defamatory, harassing, hateful, sexually explicit involving minors, or otherwise harmful.
- Attempt to gain unauthorized access to the Services, other accounts, or the underlying infrastructure.
- Probe, scan, or test the vulnerability of the Services without our prior written consent, or interfere with the integrity or performance of the Services.
- Use the Services to send spam, malware, or any other malicious code.
- Reverse-engineer, decompile, or disassemble any part of the Services, except to the extent that applicable law expressly permits.
- Use any automated means (scrapers, bots, crawlers) to access the Services in a manner that exceeds reasonable use, except as permitted by a published API.
- Resell, sublicense, or commercially exploit the Services without our prior written consent.
5. User Content
Some Services let you submit, upload, or generate content ("User Content"). You retain ownership of your User Content. By submitting User Content to a Service, you grant JumonAI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, modify (only as necessary to operate the Service, for example, by resizing or formatting), and display your User Content solely to provide the Service to you and to anyone you choose to share it with.
You are responsible for your User Content and represent that you have the rights necessary to submit it. We may remove User Content that we reasonably believe violates these Terms or applicable law.
6. Intellectual Property
The Services, including all software, design, text, graphics, and trademarks, are the property of JumonAI or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms and any applicable service-specific terms. We reserve all rights not expressly granted.
7. Third-Party Services and Service-Specific Terms
The Services may rely on third-party providers (for example, cloud infrastructure, payment processing, AI inference). Your use of those third-party services is subject to the third party's own terms, which we do not control.
Specific Services may publish additional terms governing, for example, paid subscriptions, refund policies, AI-generated content rights, credit systems, or required regulatory disclosures (such as Tokutei Shotorihiki Ho disclosures for paid digital services in Japan). Those service-specific terms supplement these umbrella Terms and prevail in case of conflict.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT OR OUTPUT (INCLUDING AI-GENERATED OUTPUT) WILL BE ACCURATE, RELIABLE, OR FIT FOR YOUR PURPOSES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL JUMONAI, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US FOR THE APPLICABLE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
10. Indemnification
You agree to defend, indemnify, and hold harmless JumonAI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the Services, (b) your User Content, or (c) your violation of these Terms.
11. Suspension and Termination
You may stop using the Services at any time. Where a Service supports account deletion, you may delete your account through the Service interface or by contacting support@jumonai.com.
We may suspend or terminate your access to the Services, in whole or in part, if we reasonably believe that you have violated these Terms, that your continued access poses a security or legal risk, or that we are required by law to do so. Where reasonably practicable and lawful, we will provide notice and an opportunity to cure.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of Japan, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to these Terms or your use of the Services will be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
14. Miscellaneous
Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Force majeure: We are not liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including natural disasters, war, civil unrest, labor actions, internet or telecommunications outages, or governmental actions.
No assignment: You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
Governing language: The Japanese version of these Terms is the original. The English version and any other translations are provided for convenience. In case of any conflict or inconsistency, the Japanese version controls.
Entire agreement: These Terms, together with any service-specific terms and any privacy notice that applies to a Service, constitute the entire agreement between you and us regarding your use of the Services and supersede any prior agreements on the same subject matter.
Changes to these Terms: We may modify these Terms from time to time. When we do, we will revise the "Last Updated" date above. For material changes, we will provide additional notice (for example, by email to active users or by an in-product banner). Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
